1. Agreement to Terms

These Terms of Service ("Terms") govern the professional relationship and contractual engagements between Rajwaa Studio ("the Studio", "we", "us") and the client ("the Client", "you"). By engaging our web development, user interface design, or consulting services, you agree to be bound by these Terms and any accompanying Statement of Work (SOW).

2. Scope of Services

Rajwaa Studio provides custom web development and digital engineering services, including:

• Company Profile & Corporate Websites: Brand representation, SEO setup, and responsive frontends.
• E-Commerce Platforms: Digital catalogs, cart logic, payment gateways, and order notification flows.
• Custom Web Applications: Bespoke workflow software, role-based dashboards, and REST APIs.
• Conversion Landing Pages: Campaign-focused, fast-loading landing pages for marketing launches.
• Website Care Plans: Ongoing maintenance, security updates, uptime SLA monitoring, and scheduled backups.

3. Proposals, Scoping & Change Requests

Before work begins, we provide a written Project Proposal or Statement of Work (SOW) outlining technical specifications, milestones, deliverables, and fixed pricing.

Any requests for features or architecture changes outside the agreed SOW will be evaluated as a Change Order. We will provide an estimate of any additional cost or timeline impact before proceeding with out-of-scope work.

4. Payment Terms & Invoicing

We adhere to transparent, milestone-based billing structures:

• Standard Projects: Typically billed 50% as a project commencement deposit, and 50% upon final staging approval prior to production deployment.
• Complex Web Applications: Billed across multi-phase milestones (e.g., 40% initial deposit, 30% core architecture demo, 30% production launch).
• Care Plans: Invoiced monthly in advance on a recurring retainer schedule.
• Invoices are due within 7 business days of issuance unless otherwise stipulated in writing.

5. Intellectual Property & Code Ownership

100% Client Ownership: Upon full and final settlement of all agreed project invoices, the Client owns 100% of the custom design assets, frontend code, database schemas, and documentation created specifically for the project.

Open-Source Libraries: Custom code may incorporate standard open-source libraries (e.g., Next.js, React, Tailwind CSS, Lucide icons) licensed under standard permissive terms (MIT/Apache 2.0).

Portfolio Showcase Right: Unless the Client explicitly requests a non-disclosure agreement (NDA) prior to project kick-off, the Studio reserves the right to showcase the completed work, screenshots, and metrics in our portfolio, website case studies, and marketing materials.

6. Client Responsibilities

Timely project delivery depends upon collaborative partnership. The Client agrees to:

• Provide required brand copy, assets, high-resolution media, and access credentials in a timely manner.
• Review staging milestone demos and provide constructive feedback within 5 business days.
• Designate a primary contact person authorized to make project decisions.

7. Warranty & Post-Launch Support

30-Day Bug-Free Warranty: All completed deliverables include a 30-day post-launch warranty starting from the day of production deployment. The Studio will rectify any technical defects or bugs arising from our written code free of charge.

The warranty does not cover defects caused by third-party API changes, client code modifications, or server hosting failures outside the Studio's direct control. Post-warranty updates are supported via our Website Care Plans.

8. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, punitive, or consequential damages. The Studio's total aggregate liability arising from any engagement shall not exceed the total fees paid by the Client to the Studio under the specific Statement of Work.

9. Governing Law

These Terms and any dispute arising out of or related to our services shall be governed by and construed in accordance with the laws of the Republic of Indonesia. The parties agree to resolve any dispute through amicable negotiation before pursuing legal action.
